This　paper　begins　with　analysing　the　importance　of　Knowledge　Management,and　then　propose　a　new　systemic　framework　based　on　it.　The　contents　and　functions　of　different　parts　in　this　framework　have　been　introduced　sequentially,　meanwhile　the　roles　of　Internet/intranet　and　IT　have　been　examined　and　emphasized.　The　applications　of　the　Knowledge　Management　systemic　framework　are　discussed　at　last.
