Cost　difference　between　developing　countries　and　developed　countries　is　basic　condition　of　Clean　Development　Mechanism(CDM).This　paper,　based　on　cost　difference　between　developing　countries　and　developed　countries,　aims　to　construct　bilateral　transaction　model　in　the　condition　of　price　limits　and　without　price　limits,　through　the　bilateral　transaction　game　between　developing　countries　and　developed　countries,　coming　to　the　conclusion　that　forced　quotation　police　takes　important　influence　trading　price　and　trading　volume　in　national　CDM　market,　and　advances　some　suggestion　when　China　faces　the　opportunity　and　challenge.　©　2012　Springer-Verlag.
