The authors of this paper add a sub-game stage, contract termination, to the Principal-Agent model, and set up a four-stage dynamic game model which is suitable for the software outsourcing. The decision-making conditions for outsourcers and suppliers involved are analyzed respectively under each stage. In the end, some suggestions are made for both sides based on the 'win-win' principle. © 2008 Taylor & Francis Group, London.
